By accessing or using FunderMatch (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all visitors, registered users, and any other parties who access or use the Service.

2. Use of Service

FunderMatch is a directory and matchmaking platform connecting MCA (merchant cash advance) brokers with funders and ISO representatives. The Service is intended for use by licensed and legitimate business finance professionals. You agree to use the Service only for lawful purposes and in accordance with these Terms.

FunderMatch does not originate, broker, or guarantee any funding transactions. We are a directory service only. Any agreements reached between brokers and funders are solely between those parties.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Broker accounts require a valid company email address. Funder and ISO rep accounts require an email address that matches the registered company domain. FunderMatch reserves the right to terminate accounts that do not meet these requirements.

4. Prohibited Activities

You agree not to:

• Misrepresent your identity, company, or credentials
• Use the Service to solicit or facilitate unlawful financial transactions
• Scrape, harvest, or systematically collect data from the platform
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to send unsolicited commercial communications
• Claim a funder listing you are not authorized to represent

5. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. FunderMatch does not warrant that funder information is accurate, complete, or current. Funder criteria, rates, and availability are subject to change without notice. We do not endorse any funder listed on the platform.

FunderMatch is not a funder, broker, or financial advisor. Nothing on this platform constitutes financial, legal, or investment advice.

6. Limitation of Liability

To the fullest extent permitted by law, FunderMatch and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost business opportunities, or loss of data, even if FunderMatch has been advised of the possibility of such damages.

FunderMatch's total liability to you for any claim arising out of or relating to these Terms shall not exceed the amount you paid to FunderMatch in the twelve months preceding the claim, or $100, whichever is greater.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York County, New York.

8. Changes to Terms

FunderMatch reserves the right to update these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the platform. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
