5. Reviews and User-Generated Content

MCA Directory hosts reviews written by registered brokers, broker shops, funders, and ISO representatives about companies they have transacted with. This section governs those reviews and any other content users submit. It is important, and you should read it before writing or responding to a review.

5.1 Reviews are the statements of their authors, not of MCA Directory

Every review, rating, reply, and other user submission is the statement and opinion of the person or company who wrote it. It is not a statement, opinion, endorsement, or finding of MCA Directory. We are an interactive computer service provider under Section 230 of the Communications Decency Act, 47 U.S.C. § 230, and we are not the publisher or speaker of content provided by our users. Publishing a review does not mean we agree with it, have confirmed it, or have taken any position on it.

5.2 We do not verify or adjudicate claims

We require that reviewers hold a verified company email address and submit supporting documentation, and we review submissions before publishing them. These are good-faith moderation steps and nothing more. We do not investigate, audit, authenticate, or adjudicate the factual accuracy of any claim made in a review, and we make no representation that any review is true, complete, or fair. Disputes about what actually happened between two companies are between those companies.

5.3 Your obligations when you write a review

By submitting a review, reply, or any other content, you represent and warrant that:

• You have had a genuine, direct business dealing with the company you are reviewing
• Everything you state as fact is true and accurate to the best of your knowledge, and anything else is clearly your opinion
• You are not a competitor writing to damage a rival, and you have not been paid, incentivized, or instructed by anyone to write it
• You are not the subject of the review, and you are not writing about your own company or an affiliate of it
• Your content does not infringe anyone's copyright, trademark, trade secret, privacy, or publicity rights
• Any documents, recordings, messages, or other materials you submit were obtained lawfully, including under all applicable wiretap and recording-consent laws, and you have the right to share them with us
• Your content is not defamatory, harassing, threatening, discriminatory, obscene, or otherwise unlawful, and does not disclose anyone's personal or financial information
• You are not using a review to extort, coerce, or pressure a company for any purpose

5.4 License and responsibility for your content

You retain ownership of what you write. You grant MCA Directory a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to host, store, reproduce, modify for formatting, publish, display, and distribute your content in connection with operating and promoting the Service.

You are solely responsible for your content and for any consequences of submitting it. You agree to indemnify, defend, and hold harmless MCA Directory and its affiliates, officers, and employees from any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to content you submit, including any claim that it is defamatory, infringing, or unlawfully obtained.

5.5 Supporting documents

Reviewers are asked to attach supporting documentation. Those documents are transmitted to our moderation inbox and are not stored on our servers and never published. They exist solely so that we can carry out the moderation described in section 5.2. Do not submit documents you are not permitted to share, and do not submit recordings made without the consent required by the laws of your jurisdiction.

5.6 Right of reply

A company that is the subject of a published review may respond to it publicly. A response may be posted by anyone holding an email address at that company's verified domain or at a contact address on file for that company. Responses publish immediately and are subject to the same obligations set out in section 5.3. The right of reply is the primary remedy we offer a reviewed company, and we encourage its use before any other step.

5.7 Reporting a review and requesting removal

If you believe a review is false, unlawful, infringing, or violates these Terms, email admin@mcadirectory.io with the URL, the specific statements at issue, and the basis for your objection. We will review the report and may remove, edit, annotate, suspend, or retain the content at our sole discretion.

We reserve the right to remove or decline to publish any content for any reason or no reason, and we have no obligation to remove content simply because it is the subject of a complaint or is unfavourable to a company. Nothing in this section creates a duty to monitor, and any moderation we choose to perform does not waive the protections of 47 U.S.C. § 230 or make us the publisher of any content.

5.8 Copyright complaints

If you believe material on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to admin@mcadirectory.io identifying the work, the material you say is infringing and its location, your contact details, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature. We will respond to properly submitted notices and may remove the material and terminate repeat infringers.

5.9 Manipulation of reviews

You may not offer or accept payment, discounts, or any other consideration in exchange for a review; write or commission reviews about your own company, an affiliate, or a competitor; create multiple accounts to post reviews; or misrepresent who you are or which company you work for. We may remove content, suspend accounts, and refuse service for any of these.

5.10 No liability for reviews

To the fullest extent permitted by law, MCA Directory is not liable to any person for any loss, damage, or harm arising from a review, rating, reply, or other user submission published on the Service, including any claim of defamation, business disparagement, tortious interference, lost profits, or reputational harm. The limitations in section 7 apply to this section in full.
